GNPower Ltd. Co. (“GNPower”) is a private limited partnership organized and established in 1997 by PMR Holding Corp. (as sole general partner) and PMR Limited Co. (as limited partner) to develop, operate and own power generation projects and associated facilities in the Philippines. In 2002, Power Partners Ltd. Co. (“Power Partners”) became the sole general partner and PMR Holding Corp. became the sole limited partner of GNPower. In June 2014, the ownership structure of GNPower was restructured and since then, the sole general partner of GNPower is GNPower Holdings GP Corporation (owned and controlled by Power Partners) while Power Partners is the sole limited partner.
In 2005, the partnership began the development of a coal-fired project as the first step in forming an integrated, multi-fuel electricity generation and fuel handling energy complex. In January 2010, GNPower completed the development and commenced the construction of a 2x316MW (net) clean pulverized coal-fired power plant located in Mariveles, Bataan, Philippines (“Mariveles Project”). GNPower and Power Partners own a significant minority position in the Mariveles Project through their ownership of GNPower Mariveles Coal Plant Ltd. Co. (“GMCP”) — the special purpose vehicle established to construct, own and operate the Mariveles Project.
Aside from its expertise in project development, GNPower is also a duly-licensed Retail Electricity Supplier (“RES”). GNPower is positioned to continuously perform its RES functions and is continuously in discussions with various customers to offer its services and additional facilitation for end-users through its electricity supply and trading team.”
